Terms of Service

By creating an account on or otherwise using ItsProvn ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms form a binding agreement between you and Liz Advisors Private Limited ("we", "us", "our").

ItsProvn is a digital credential platform that enables academies and schools ("Issuers") to issue, store, and make verifiable digital certificates for students. Students and parents ("Holders") can collect, manage, and share their credentials. Third parties ("Verifiers") can verify credentials via public links without creating an account.

• Academies: registered or self-attested coaching institutes, sports academies, arts organisations, and similar bodies that instruct or evaluate students.
• Schools: educational institutions with authority over student extracurricular records.
• Students aged 13 and above. Users under 18 require parental or guardian consent. By creating an account for a minor, you represent that you are the minor's parent or legal guardian and consent on their behalf.
• Parents/guardians acting on behalf of their child.

• One account per person or institution.
• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately at support@itsprovn.com if you suspect unauthorised access to your account.

You agree not to:

• Impersonate any person, institution, or authority.
• Issue false, fabricated, or misleading credentials.
• Scrape, crawl, or systematically extract data from the Service.
• Interfere with the Service's security, integrity, or availability.
• Use the Service for any unlawful purpose.

Violation of this section may result in immediate account termination and, where applicable, referral to law enforcement.

ItsProvn operates on a tiered subscription model for academies and schools. Current pricing is communicated to each prospective customer during contract negotiation and confirmed in writing in the signed service agreement. Pricing is held for the agreed contract term (typically 1 or 3 years).

6.1 Billing. Subscription fees are payable per the schedule set out in your contract — quarterly for academies, annually for schools, with multi-year upfront options available.

6.2 Tax. All fees are exclusive of Goods and Services Tax (GST). Liz Advisors Private Limited will apply GST once registered. Until GST registration, invoices will not include GST.

6.3 Payment processing. Payments are processed by Razorpay (Razorpay Software Private Limited). Card and bank account details are handled by Razorpay; ItsProvn does not store payment instrument data.

6.4 Founding cohort pricing. Early customers may be offered founding cohort rates. These rates, where applicable, are documented in the individual contract and are locked for the contract duration.

• Billing frequency is set out in your individual service contract.
• Payments are processed by Razorpay. We do not store card or bank details.
• GST will be charged once Liz Advisors Private Limited is registered under the Goods and Services Tax Act. GSTIN will be communicated to customers at the time of registration.
• Failed payments will result in a grace period of 7 days, after which access may be restricted until payment is made.

We will provide a pro-rata refund for unused complete months if you cancel a paid subscription in good faith. No refund is available for months already consumed. Refunds are credited to the original payment method within 5–10 business days.

ItsProvn records credentials exactly as submitted by the Issuer (academy or school). ItsProvn does not certify, endorse, or verify the underlying achievement itself. Verification via ItsProvn confirms only that:

• A named Issuer submitted the credential on the stated date.
• The credential record has not been altered since issuance.

Issuers are solely responsible for the accuracy of the credentials they issue. ItsProvn assumes no liability for fraudulent or inaccurate credentials submitted by Issuers.

• By you: you may terminate your account at any time by emailing support@itsprovn.com.
• By us: we may suspend or terminate your account for material breach of these Terms, fraudulent activity, or non-payment, with or without prior notice depending on the severity of the breach.

To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or related to the Service is limited to the total fees you paid us in the twelve (12) months preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages.

Each party agrees to indemnify and hold harmless the other party and its officers, directors, and employees from any claims, damages, and costs (including legal fees) arising from the indemnifying party's breach of these Terms or wilful misconduct.

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

In the event of any dispute, the parties agree to first attempt good-faith resolution by notifying the other party in writing and engaging in discussions for a period of 30 days. If unresolved, the dispute shall be referred to arbitration in Pune under the Indian Arbitration and Conciliation Act, 1996.

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
